Kryvethan Security Inc. provides post-quantum cryptography security solutions, consulting, implementation, and related services designed to protect Canadian enterprises against current and emerging cybersecurity threats, including those posed by quantum computing advancements.
Our Services include but are not limited to security assessments, cryptographic algorithm implementation, compliance advisory, threat analysis, and ongoing security monitoring. All Services are delivered in accordance with applicable Canadian federal and provincial regulations, including but not limited to PIPEDA (Personal Information Protection and Electronic Documents Act) and GDPR requirements for international data transfers.
To use our Services, you must be at least 18 years of age or the age of majority in your jurisdiction, and you must have the legal authority to enter into a binding contract. Organizations using our Services warrant that they are duly organized and validly existing under applicable law.
If you create an account to access our Services, you are responsible for maintaining the confidentiality of your login credentials, passwords, and account information. You agree to notify us immediately of any unauthorized access or security breach. You are liable for all activities conducted through your account, whether authorized or not.

Payment terms are typically Net 30 days from invoice date unless otherwise negotiated. Late payments may incur interest at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower. We reserve the right to suspend Services if payment is not received within 60 days of the due date.
All fees quoted are exclusive of applicable Harmonized Sales Tax (HST), Goods and Services Tax (GST), or similar applicable taxes, which will be added to invoices as required by law.
You are responsible for all costs associated with your use of our Services, including but not limited to infrastructure, bandwidth, and third-party tools required for service delivery.
Both parties acknowledge the sensitive nature of the information exchanged during the provision of Services. You agree to keep all Kryvethan Security Inc. proprietary information, including methodologies, algorithms, and business practices, strictly confidential.
We commit to protecting your personal and organizational data in accordance with PIPEDA, GDPR (where applicable), and applicable Canadian provincial privacy legislation. Our Privacy Policy, available at our website, provides full details on how we collect, use, store, and protect your data.

You agree to indemnify, defend, and hold harmless Kryvethan Security Inc., its officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to: (a) your use of our Services; (b) your violation of these Terms; (c) your infringement of any third-party intellectual property rights; or (d) any content or data you provide to us.
Either party may terminate the Services with written notice as specified in the applicable service agreement. Upon termination:

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of laws principles. You consent to the exclusive jurisdiction of the courts located in Ottawa, Ontario.
Before initiating formal legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation. If negotiation fails, disputes may be escalated to mediation or arbitration as agreed by both parties.
Each party waives the right to jury trial and any right to participate in a class action lawsuit. Any legal action or proceeding must be brought individually and not as part of a class or collective action.

These Terms, together with the applicable service agreement, privacy policy, and any other documents expressly incorporated by reference, constitute the entire agreement between you and Kryvethan Security Inc. regarding the Services and supersede all prior or contemporaneous agreements, understandings, and communications, whether written or oral.

These Terms of Service are effective as of January 1, 2024, and apply to all new and existing clients of Kryvethan Security Inc.
